1. Introduction
Welcome to Smart Wealth Ops. These Terms of Service (“Terms”) govern your access to and use of our institutional wealth management platform, software, and associated services (collectively, the “Services”). By accessing or using our Services, you establish a legally binding relationship with Smart Wealth Ops.
Please review these Terms carefully. If you are accepting these Terms on behalf of an institution, corporate entity, or other legal organization, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Acceptance of Terms
By registering for an account, executing an order form that references these Terms, or otherwise continuing to use the Services, you signify your unequivocal agreement to be bound by these Terms and our Privacy Policy. If you do not agree to any portion of these Terms, you are prohibited from accessing the platform or utilizing any associated services.
3. User Obligations & Conduct
As an institutional user of Smart Wealth Ops, you are entrusted with maintaining the security and integrity of your access credentials. You agree to:
Provide accurate, current, and complete corporate and regulatory information during registration.
Maintain the stringent confidentiality of your account passwords and multi-factor authentication tokens.
Immediately notify our security operations center of any suspected unauthorized access or data breach.
Utilize the Services solely in compliance with applicable financial regulations, including SEC, FINRA, and international banking laws.
4. Intellectual Property
The Services, including but not limited to proprietary algorithms, financial models, platform architecture, user interfaces, and corporate branding, are the exclusive intellectual property of Smart Wealth Ops and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to access the Services for your internal business operations. No ownership rights are transferred to you.
5. Limitation of Liability
Important Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART WEALTH OPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. THE PLATFORM PROVIDES OPERATIONAL SOFTWARE, NOT FINANCIAL, INVESTMENT, OR LEGAL ADVICE.
6. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York.
